Nobilis Announces the Acquisition of Intraoperative Neuromonitoring Company

May 05, 2015

HOUSTON, TX--(Marketwired - May 05, 2015) - Nobilis Health Corp. (NYSE MKT: HLTH) (TSX: NHC) ("Nobilis") today announced that it has entered into an agreement to acquire Peak Surgeon Innovations, LLC ("Peak"), a provider of intraoperative neuromonitoring ("IOM") services for hospitals, surgery centers and other healthcare facilities. Nobilis will pay $700,000.00 in cash and $800,000.00 in Nobilis common stock, and the seller, Dr. Brian Hasse, will be entitled to receive an earn out based on the service line's EBITDA after 18 months of operations under Nobilis. Dr. Hasse executed an employment agreement with Nobilis naming him the Vice President of Nobilis' new electrodiagnostic division. Through the real-time observation and recording of electrical potentials from the nervous system during surgical operations, IOM helps reduce the risk of damage to the nervous system by providing functional guidance to the surgeon and anesthesiologist.

"With this acquisition, Nobilis has officially launched its new ancillary services division," said Kenneth Efird, Nobilis' Chief Development Officer, "Peak instantly expands our ancillary services into multiple locations across multiple states. We expect to rollout ancillary service lines in toxicology, first assist, DNA testing and anesthesia, among others, over the next few months."

"This acquisition furthers Nobilis strategy of capturing additional per case revenues" said Chris Lloyd, Nobilis' Chief Executive Officer. "We will likely recognize an impact on our cash flow over the next quarter, and as our procedure volume increases, ancillary revenues will materially impact our financials," continued Lloyd.
